Senior Funds Legal Counsel Global Investment Management

Our client a Leading Global Investment Management firm  is seeking a Funds Legal Counsel to join an existing team

The Role
 

  • Responsible for Legal matters around the distribution and marketing of investment products and services, including the negotiation of the associated contractual framework.
  • Work closely with Legal Counsel based in London and in Luxembourg and provide legal advice and support to the firm’s  business operations in EMEA and Latin America, with particular focus on the UK.
  • Essential to have knowledge of fund  structures, in particular OEICs/ICVCs in the UK, cross border distribution, and investment management agreements.

Key Responsibilities
 

  • Review and update fund documents and materials in particular covering the firm’s OEIC & prospectus.
  • Review and negotiate fund distribution/platform and purchase agreements. 
  • Review and negotiate IMAs and related agreements.
  • Undertake complex legal and regulatory projects covering areas related to FCA consultations and policy statements, ESG et, monitor Regulatory developments.
  • Review and negotiate general commercial  contracts (not directly related to separate account clients or funds).
  • Ensures that continuing registration and corporate obligations are tracked and met by liaising with regulators, external legal counsel, internal finance, compliance and tax teams to ensure those obligations are correctly met.

Candidate Profile
 

  • Admitted as a Legal Counsel
  • Funds experience from Private Practice and or an Asset, Investment or Wealth Management firm.
  • Experience in drafting, review and negotiation of fund-related documentation, asset management-related documentation and commercial contracts.
  • Attention to detail and ability to work under tight timeframes and meet deadlines.
  • Ability to interact with a diverse group of internal and external contacts.
  • A team player who can work independently as well.
  • Experience preferred with OEICs/ICVCs in the UK, the FCA, and investment management agreements.

Work Flexibility

Based in the City, eligible for remote work up to two days a week.
